Terms and Conditions

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: “Client”, “You” and “Your” refers to you, the person accessing this website and accepting the Company’s terms and conditions. “The Company”, “Ourselves”, “We” and “Us”, refers to our Company. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Privacy Statement

We are committed to protecting your privacy. Only authorized employees within the company on a need-to-know basis have access to information collected from individual customers. We constantly review our systems and data to ensure the best possible service to our customers. We are committed to investigating unauthorized actions against computer systems and data.

Confidentiality

Clients are requested to retain copies of any literature issued in relation to the provision of our services. Where appropriate, we shall issue Clients with appropriate written information, handouts or copies of records as part of an agreed contract, for the benefit of both parties.

Disclaimer – Exclusions and Limitations

The information on this website is provided on an “as is” basis. To the fullest extent permitted by law, this Company:

  • excludes all representations and warranties relating to this website and its contents or which is or may be provided by any affiliates or any other third party, including in relation to any inaccuracies or omissions in this website and/or the Company’s literature; and
  • excludes all liability for damages arising out of or in connection with your use of this website. This includes, without limitation, direct loss, loss of business or profits (whether or not the loss of such profits was foreseeable, arose in the normal course of things or you have advised this Company of the possibility of such potential loss), damage caused to your computer, computer software, systems and programs and the data thereon or any other direct or indirect, consequential and incidental damages.

This Company does not, however, exclude liability for death or personal injury caused by its negligence. The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer are affected.

Payment

Payment is processed through PayPal, and all payments are subject to PayPal’s User Agreement. You must cancel before the start of a new billing cycle, which is the 1st of the following month.

Termination of Agreements and Refunds Policy

Both the Client and Hospice University have the right to terminate any services for any reason, including the ending of services that are already underway. No refunds shall be offered, where a service is deemed to have begun and is, for all intents and purposes, underway.

Access

Hospice University hereby grants you permission to use the website as set forth in this Terms of Service, provided that: (i) you will not copy or distribute any part of the website in any medium without prior written authorization; (ii) you will not alter or modify any part of the website other than as may be reasonably necessary to use the website for its intended purpose; and (iii) you will otherwise comply with the terms and conditions of these Terms of Service.

In order to access some features of the website, you will have to create an account. You may never use another user’s account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Hospice University immediately of any breach of security or unauthorized use of your account. Although Hospice University will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Hospice University or others due to such unauthorized use. All postings are identifiable by usernames and profiles.

The Hospice University website may now or in the future permit the submission of content or other communications submitted by you and other users (“User Submissions”) and the hosting, sharing, and/or publishing of such User Submissions. You understand that whether or not such User Submissions are published, Hospice University does not guarantee any confidentiality with respect to any submissions. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use and authorize Hospice University to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the website and these Terms of Service; and (ii) you have the written consent, release, and/or permission of each and every identifiable individual person in the User Submission to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the User Submissions in the manner contemplated by the website and these Terms of Service.

For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting the User Submissions to Hospice University, you hereby grant Hospice University a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Hospice University website and Hospice University’s (and its successor’s) business, including without limitation for promoting and redistributing part or all of the Hospice University website (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Hospice University website a non-exclusive license to access your User Submissions through the website, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the website and under these Terms of Service. The foregoing license granted by you terminates once you remove or delete a User Submission from the Hospice University website.

In connection with User Submissions, you further agree that you will not: (i) submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Hospice University all of the license rights granted herein; (ii) publish falsehoods or misrepresentations that could damage Hospice University or any third party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iv) post advertisements or solicitations of business; (v) impersonate another person; (vi) discuss fees or rates associated with Hospice University services; (vii) post anti-trust messages that instruct or encourage members to act in a way that expressly or implicitly leads to price fixing, boycotting another business, or any other acts intended to restrict fair trade. These messages include discussions of price, discounts, salaries, profits, profit margins, costs, sales, market share, sales territories, termination of customers or contracts. Hospice University does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and Hospice University expressly disclaims any and all liability in connection with User Submissions.

Hospice University does not permit copyright infringing activities and infringement of intellectual property rights on its website, and Hospice University will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another’s intellectual property rights. Hospice University reserves the right to remove Content and User Submissions without prior notice. Hospice University will also terminate a User’s access to its website, if they are determined to be a repeat infringer. A repeat infringer is a User who has been notified of infringing activity more than twice and/or has had a User Submission removed from the website more than twice. Hospice University also reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms of Service for violations other than copyright infringement and violations of intellectual property law, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. Hospice University may remove such User Submissions and/or terminate a User’s access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.

If advice is received from a user submission, a professional advisor should be consulted for more detailed information.

Log Files

We use IP addresses to analyze trends, administer the site, track user movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information. Additionally, for systems administration, detecting usage patterns and troubleshooting purposes, our web servers automatically log standard access information including browser type, access times/open mail, URL requested, and referral URL. This information is not shared with third parties and is used only within this Company on a need-to-know basis. Any individually identifiable information related to this data will never be used in any way different to that stated above without your explicit permission.

Brochure Terms Of Use: Royalty-Free Standard License Agreement

AGREEMENT BETWEEN USER AND HOSPICE UNIVERSITY, INC.

This Agreement governs commercial use of the brochures (selection of 18 different brochures) that you will purchase and license from Hospice University, Inc. Specifically, this is a legal agreement (”Agreement”) between you as the Licensee (hereinafter “USER”) and Hospice University, Inc., also known as the Licensor (hereinafter “Company”), that USER shall purchase and receive a royalty free standard license to use the brochure data and contents developed by Company (hereinafter “Brochure”) for USER’s marketing and promotional purposes, as set forth by the terms below.

The Brochure may be purchased by USER conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. If you are entering into this Agreement on behalf of your employer, the license granted and the restrictions and limitations recited herein apply to your employer as well as to you as a representative agent of your employer.

BROCHURE USAGE TERMS

USER agrees to purchase and receive a royalty free standard license to use the Brochure content as seen on the Company website. USER shall order the quantities needed by USER as set forth on the Company website. USER may customize the Brochure by placing the USER logo on the front and the back of the Brochure and by placing customized text on the back of the Brochure. USER may elect to customize the Brochure further if: (i) it pays an additional fee to Company; and (ii) receives Company’s written approval for customization; Company reserves the sole and absolute discretion to approve custom design.

USER shall exclusively use Company vendors for logo placement and to print the Brochure, in the chosen quantities made by USER. Company vendor shall deliver all Brochures to USER at address designated on the website order.

USER shall not reprint, modify or photocopy Brochure with an internal or external vendor; USER shall exclusively use Company’s vendor for design and print. USER shall not use the Brochure in any defamatory, libelous or otherwise unlawful manner.

Company has developed the Brochure content with current industry information available to Company and Company has checked Brochure content for accuracy. Notwithstanding the foregoing, Company shall be held harmless for Brochure content inaccuracies and/or typographical errors as set forth under the section titled, Liability Disclaimer.

USER is prohibited to sell, license or distribute Brochure or its content to other hospice providers. Photographs on Brochure are licensed by Company from third party vendors and may not be used by USER for any other use, including but not limited to, print, digital, presentation templates, video or any other electronic or printed matter. Failure to comply with this provision will result in legal action and

USER agrees that it shall be liable for Company’s damages, costs and attorney fees if USER breaches this provision of the Agreement.

Company reserves the sole right to sell Brochure to any provider; USER agrees and acknowledges that it does not have the exclusive right to the use of the Brochure.

MODIFICATION OF THESE TERMS OF USE

Company reserves the right to change the Brochure contents and the terms, conditions, and notices under which the Brochure is offered, including but not limited to the charges associated to purchase the Brochure.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the Brochure, you warrant to Company that you will not use the Brochure for any purpose that is unlawful or prohibited by these terms, conditions, and notices.

LIABILITY DISCLAIMER

The information included in or available in the Brochure may include inaccuracies or typographical errors. To the maximum extent permitted by applicable law, all such information is provided “as is” without warranty or condition of any kind. Company and/or its vendors hereby disclaim all warranties and conditions with regard to this information, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title and non-infringement.

To the maximum extent permitted by applicable law, in no event shall Company and/or its Vendors be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Brochure, or for any information and related graphics obtained through the Brochure, or otherwise arising out of the use of the Brochure, whether based on contract, tort, negligence, strict liability or otherwise. USER agrees to indemnify and hold Company harmless against all claims arising out of any breach of this Agreement.

COPYRIGHT NOTICE

All contents of the Brochure are copyright protected: © 2011 Hospice University, Inc., Brochure. All rights to the Brochure are owned by the Company and Company is protected by United States copyright laws, international treaty provisions and other applicable laws. Company retains all rights not expressly granted by this Agreement. The license contained in this license agreement will terminate automatically without notice from Company if you or your employer, if you are licensing on behalf of your employer, fail to comply with any provision of this license agreement. Upon termination, you, and your employer, if you are licensing on behalf of your employer, must immediately (a) stop using the Brochure, and (b) delete any Brochure and all copies of all of them from all magnetic media and destroy all print copies. Company will pursue all infringement actions, including but not limited to collecting statutory damages and attorney fees.

GENERAL

To the maximum extent permitted by law, this Agreement is governed by the laws of the State of Florida, U.S.A. and USER consents to the exclusive jurisdiction and venue of courts in Orange county, Florida, U.S.A. in all disputes arising out of or relating to the use of the Brochure. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Company, as a result of this Agreement or use of the Brochure. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect. Unless otherwise specified herein, this Agreement constitutes the entire agreement between the USER and Company, with respect to the Brochure and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written between the USER and Company, with respect to the Brochure. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Brochure Content Terms Of Use: Royalty-Free Full License Agreement

AGREEMENT BETWEEN AND HOSPICE UNIVERSITY, INC.

This Agreement governs commercial use of the brochure content purchased and licensed from Hospice University, Inc. Specifically, this is a legal agreement (“Agreement”) between you as the Licensee (hereinafter “USER”) and Hospice University, Inc., also known as the Licensor, (hereinafter “Company” that USER shall purchase and receive a royalty free full license to use the brochure data and contents developed by Company (hereinafter “Brochure”) for USER’s marketing and promotional purposes, as set forth by the terms below.

BROCHURE USAGE TERMS

USER shall have the right to the content only and shall not use Company’s photography displayed on the Brochure; USER shall be responsible to secure its own photography and licensing of said photography if it wants to customize the Brochure with photographs. USER shall be responsible for its own Brochure layout, design and printing.

USER shall exclusively use USER’s logo and shall not use Company’s name and/or logo. No affiliation shall be displayed with Company; USER agrees and acknowledges that it has the sole right to use the written contents of the Brochure and that there is no affiliation with the Company.

Company has developed the Brochure content with current industry information available to Company and Company has checked Brochure content for accuracy. Notwithstanding the foregoing, Company shall be held harmless for Brochure content inaccuracies and/or typographical errors as set forth under the section titled, Liability Disclaimer.

USER is prohibited to sell, license or distribute Brochure or its content to other hospice providers. USER shall not use the Brochure in any defamatory, libelous or otherwise unlawful manner. Failure to comply with this provision will result in legal action and USER agrees that it shall be liable for Company’s damages, costs and attorney fees if USER breaches this provision of the Agreement.

USER may use the Brochure for any other use besides the Brochure, including but not limited to, print, digital, presentation templates, video or any other electronic or printed matter, as long as it is for USER’s marketing and/or promotional purposes. Company reserves the sole right to sell Brochure to any provider; USER agrees and acknowledges that it does not have the exclusive right to the use of the Brochure.

MODIFICATION OF THESE TERMS OF USE

Company reserves the right to change the Brochure contents and the terms, conditions, and notices under which the Brochure is offered, including but not limited to the charges associated to purchase the Brochure.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the Brochure, you warrant to Company that you will not use the Brochure for any purpose that is unlawful or prohibited by these terms, conditions, and notices.

LIABILITY DISCLAIMER

The information included in or available in the Brochure may include inaccuracies or typographical errors. To the maximum extent permitted by applicable law, all such information is provided “as is” without warranty or condition of any kind. Company and/or its vendors hereby disclaim all warranties and conditions with regard to this information, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title and non-infringement.

To the maximum extent permitted by applicable law, in no event shall Company and/or its Vendors be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Brochure, or for any information and related graphics obtained through the Brochure, or otherwise arising out of the use of the Brochure, whether based on contract, tort, negligence, strict liability or otherwise.

Company will pursue all infringement actions, including but not limited to collecting statutory damages and attorney fees.

GENERAL

To the maximum extent permitted by law, this Agreement is governed by the laws of the State of Florida, U.S.A. and USER consents to the exclusive jurisdiction and venue of courts in Orange county, Florida, U.S.A. in all disputes arising out of or relating to the use of the Brochure. Force Majeure

Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavors to comply with the terms and conditions of any Agreement contained herein.

Waiver

Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.

General

The laws of the United States of America govern these terms and conditions. By accessing this website and using our services and buying our products you consent to these terms and conditions and to the exclusive jurisdiction of the courts in all disputes arising out of such access. If any of these terms are deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above), then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. Failure of the Company to enforce any of the provisions set out in these Terms and Conditions and any Agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of these Terms and Conditions or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision. These Terms and Conditions shall not be amended, modified, varied or supplemented except in writing and signed by duly authorized representatives of the Company.

Notification of Changes

The Company reserves the right to change these conditions from time to time as it sees fit and your continued use of the site will signify your acceptance of any adjustment to these terms. If there are any changes to our privacy policy, we will announce that these changes have been made on our home page and on other key pages on our site. If there are any changes in how we use our site customers’ Personally Identifiable Information, notification by e-mail or postal mail will be made to those affected by this change. You are therefore advised to re-read this statement on a regular basis.

These terms and conditions form part of the Agreement between the Client and ourselves. Your accessing of this website and/or undertaking of an Agreement indicates your understanding, agreement to and acceptance, of the Disclaimer Notice and the full Terms and Conditions contained herein. Your statutory Consumer Rights are unaffected.
